Legal Counsel: General Business

Purpose
The Senior Legal Counsel will act as a trusted business partner, providing strategic, commercially focused legal support across business initiatives. The role will lead complex contracting, advisory and risk management matters.
Key Missions

Lead drafting, review, and negotiation of SaaS agreements, licensing, cloud and hosting agreements, IT services agreements, Master services agreements (MSAs)/framework agreements, reseller and partner agreements. Outsourcing and vendor contracts.

Contribute to standardization workstreams for contracting templates and playbooks. Drive contracting efficiencies and process improvements.
- Engages and manages external legal counsels in litigations and other disputes, if any. Engages and manages external legal counsels as required.
- Contribute to legal, contractual, governance, and compliance processes, standards, tools, guidelines, and policies.
- Supports training of internal client organizations by continuous knowledge-sharing and guidance regarding IDEMIA governance and policies, as well as key legal/ethics and compliance/contract issues that impact the business.
- Examines business operations and behaviors to alert of any potential failure of compliance or regulatory breach.
- Work closely with finance, compliance, procurement, and information security teams.
- Manage and oversee corporate secretarial matters for IDEMIA's and Divisions' legal entities
- Mentor junior legal team members. Contribute to team capability development and succession planning.
Profile & Other Information
Qualifications & Experience

Qualified lawyer with [8–12+] years of post-qualification experience.

Experience in a technology company or strong technology practice background.

Proven expertise in commercial and technology contracting.

Strong understanding of data protection and digital regulatory frameworks.

Demonstrated ability to operate independently and influence senior stakeholders.
