Purpose

Senior Contract Manager is responsible for driving contract lifecycle management, mitigating risks, and aligning commercial strategy to support IST business growth across the different Business Units. She/he facilitates in ensuring that all contracts are negotiated, drafted, and executed in alignment with business objectives, while minimizing risks and ensuring compliance with legal and regulatory standards. By strategically managing the entire contract process, from negotiation to execution, the Senior Contract Manager is instrumental in identifying commercial opportunities and driving contract strategy to support the organization’s long-term goals by identifying opportunities to drive profitability, improve operational efficiency, and reduce potential liabilities.The Senior Contract Manager also plays a key role in optimizing contract terms to maximize value for IST and its Customers.

 

Key Missions

End-to-End Contract Management
Manage the full contract lifecycle from proposal to execution and closure, ensuring effective coordination across Sales, Legal, and Delivery teams.

Contract Structuring & Negotiation
Support RFP processes and negotiation strategy. Draft, review, and negotiate key contractual documents (agreements, SoWs, amendments, renewals), ensuring alignment with legal, compliance, and business requirements. Collaborate with cross-functional teams to reflect the intended business model and ensure smooth handover to Delivery.

Risk Management
Identify, monitor, and escalate contractual risks, disputes, and compliance issues. Recommend mitigation strategies and provide ongoing advisory support throughout the contract lifecycle.

Governance & Change Management
Act as the key interface for customer contract matters during delivery. Manage amendments, change requests, renewals, and terminations, and support dispute resolution while maintaining strong stakeholder relationships.

Reporting & Documentation
Maintain accurate contract records and ensure audit readiness. Provide regular reporting on contract status, risks, and performance metrics.

Operational Excellence
Drive continuous improvement in contract management processes, tools, and standard documentation. Support broader transformation initiatives.

Training & Enablement
Provide guidance and training to internal teams on contract management best practices, risk mitigation, and negotiation.

Experience/Background & Key Skills

Experience:

Minimum of 8-10 years’ experience in contract management, with a proven track record of handling complex negotiations, drafting, and reviewing contracts in a digital environment.

Experience in global contract management, particularly in digital / IT technologies sector.

Strong understanding of contract law, international business law, compliance standards, and risk management strategies.

Key Skills: 

Project Management: skilled in managing multiple contracts and projects simultaneously, with a focus on meeting deadlines and ensuring successful outcomes.

Risk Management: expertise in identifying, assessing, and mitigating risks related to contracts, protecting the company from potential liabilities.

Stakeholder Management: expertise in building and maintaining relationships with internal teams (e.g., Sales, Legal, Finance) and external partners (e.g., Customers, subcontractors, etc.).

Contract negotiation: ability to lead complex negotiations, balancing the needs of both parties while securing favorable terms for the company.

Contract Lifecycle Management Tools: proficiency in using CLM tools and other digital solutions to manage contracts, track progress, and maintain accurate records.

Advanced proficiency in Microsoft applications.

Fluency in English, to work fluently in both written and spoken English in an international context. Fluency in Japanese or Korean is a plus. 

Education/ Certification:

Master’s degree in Law, Business Administration, or qualification in related field such as Business, Finance, Project Management, or Engineering.

Certifications in Contract Management (e.g WCC, …) or Legal Operations are a plus.
